AI Contract Risk Checklist for SaaS Businesses

If your SaaS business uses AI — whether in your product, internally, or through third-party tools — your contracts need to deal with the risks properly.

AI creates extra issues that standard SaaS contracts often miss, including data use, output quality, IP ownership, privacy, transparency and liability.

A strong contract should not just allocate risk after something goes wrong. It should set clear guardrails for how the AI is used day to day.

Here is a practical checklist to work through before signing, launching or scaling.

1. Understand the AI use case and risk profile

Start with how the AI is actually being used.

Ask:

  • Is the AI generating content, recommendations or summaries?

  • Is it making decisions that affect users?

  • Is it customer-facing or only internal?

  • Does it support low-risk admin tasks or critical workflows?

Risk depends on context.

For example:

  • AI helping your team categorise support tickets = lower risk.

  • AI used to approve users, assess claims or detect fraud = higher risk.

The more the AI affects a person’s rights, access, pricing, finances or wellbeing, the more controls you need.

Practical step:
Create a short internal risk summary before contracting:

  • use case;

  • key risks;

  • customer impact;

  • human review points.

This helps shape both contract terms and internal controls.

2. Lock down what data goes into the AI system

AI systems are only as safe as the data that feeds them.

Review:

  • what customer data is uploaded;

  • whether it includes personal information;

  • whether it includes confidential business data;

  • whether data is used for prompts, training or fine-tuning.

Your contract should clearly deal with:

  • permitted use of customer data;

  • storage location;

  • access restrictions;

  • retention periods;

  • deletion obligations; and

  • whether data can be used to improve the model.

Vendors often seek broad rights to retain and reuse customer data. If left unchecked, your customer data may be used to improve tools for other customers.

Practical step:
Include a clear clause that:

  • limits use of your data to providing the service;

  • prohibits training use without consent; and

  • requires deletion/return on exit.

3. Be clear on ownership of inputs, outputs and improvements

AI creates uncertainty around ownership.

Your contract should cover:

  • ownership of customer input data;

  • ownership of outputs;

  • ownership of fine-tuned models or custom workflows;

  • ownership of improvements created using your data.

This matters more where:

  • you provide proprietary workflows;

  • your data has commercial value; or

  • you are building differentiated IP.

For lower-risk SaaS tools, vendor ownership of platform improvements may be fine. But high-value customer data should usually be ring-fenced.

Practical step:
Create a simple ownership table in the deal:

  • customer keeps input data;

  • customer owns business outputs;

  • vendor owns platform;

  • no training rights unless agreed.

4. Ask how the AI was trained and tested

AI quality depends on:

  • training data quality;

  • data lawfulness;

  • bias controls; and

  • ongoing testing.

Do not assume the vendor has dealt with this.

Ask:

  • Was the training data lawfully sourced?

  • Were third-party rights respected?

  • How is bias monitored?

  • How often is the model updated?

For higher-risk tools, seek:

  • warranties on lawful training data use;

  • performance commitments;

  • obligations to fix material issues.

AI and machine learning systems can reflect poor quality or biased training data if not properly managed.

Practical step:
For important AI tools, ask for:

  • product/security documentation;

  • model governance summary;

  • incident history.

5. Build in transparency and audit rights

If AI affects users, customers or regulated processes, you need visibility.

Your contract should deal with:

  • how outputs are generated;

  • what logs are available;

  • how errors can be investigated;

  • cooperation with complaints or regulators.

This is especially important for:

  • AI customer support;

  • onboarding tools;

  • fraud detection;

  • pricing tools;

  • recommendations.

AI should be transparent enough for you to explain outcomes if challenged.

Practical step:
At minimum, require:

  • access to usage logs;

  • audit support for incidents;

  • notice of material model changes.

6. Put human oversight in place

Do not let AI run without practical controls.

The biggest risk is often over-reliance: teams assume AI is right because it is fast.

Set:

  • approval thresholds;

  • escalation processes;

  • spot checks;

  • failure protocols.

Important decisions should not be fully outsourced to AI without review.

Example:
If AI flags a customer as fraudulent:

  • AI should flag risk;

  • a person should review before suspension.

Practical step:
Create an internal AI use policy covering:

  • approved tools;

  • restricted data;

  • review obligations;

  • who escalates issues.

7. Review warranties, indemnities and liability caps properly

Standard SaaS risk clauses are often not enough for AI.

Review:

  • output accuracy / hallucination risk;

  • privacy breaches;

  • data misuse;

  • third-party IP claims;

  • discrimination claims;

  • reputational harm.

AI-specific risks include:

  • inaccurate outputs;

  • offensive content;

  • privacy breaches;

  • degraded performance due to poor data.

Liability caps should reflect the actual business risk, not just subscription value.

Practical step:
Push for:

  • vendor privacy/security obligations;

  • IP infringement indemnity;

  • exclusions from liability cap for key breaches.

8. Plan for exit early

AI tools can become deeply embedded in operations.

Before signing, check:

  • can data be extracted?

  • can outputs be exported?

  • can you transition to another provider?

  • what happens to training data after exit?

If you cannot leave easily, you may lose leverage later.

Practical step:
Add:

  • exit support period;

  • deletion certification;

  • migration assistance rights.
